1 Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Satisfi Technologies, LLC ("Satisfi," "we," "us," or "our"), a Texas limited liability company. These Terms govern your access to and use of our website at satisfitechnologies.com (the "Site") and any services offered therein.

By accessing the Site, submitting a contact form, requesting a site walk, or entering into a partnership or service agreement with Satisfi Technologies, you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, incorporated herein by reference.

If you are using the Site on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms, and "you" refers to both you individually and that entity.

2 Description of Services

Satisfi Technologies provides smart retail infrastructure services, including the installation, stocking, maintenance, and management of automated Smart Store units ("Smart Stores") at commercial and residential properties. Our services are offered to property owners, building managers, facility operators, and other business entities ("Property Partners") at zero cost to the property.

Through the Site, prospective Property Partners may:

• Learn about our Smart Store technology, hardware, and operational model
• Request a site walk or partnership inquiry via our contact form
• Contact our team directly via email or phone

Specific partnership terms governing Smart Store deployments will be set forth in a separate written Partner Agreement executed between Satisfi Technologies and each Property Partner. These Terms do not constitute or replace any Partner Agreement.

3 Eligibility

Our Site and services are intended for adults aged 18 or older, and for business entities and their authorized representatives. By using the Site, you represent that:

• You are at least 18 years of age, or are using the Site under the supervision of a parent or legal guardian
• You have the legal authority to enter into binding agreements on behalf of yourself or your organization
• Your use of the Site and services complies with all applicable laws and regulations
• You will not use the Site for any unauthorized, unlawful, or prohibited purpose

4 Use of Our Website

4.1 Permitted Use

You may use our Site for lawful purposes consistent with these Terms — including browsing our content, submitting a partnership inquiry, and learning about our services.

4.2 Prohibited Use

You agree not to:

• Use the Site in any way that violates applicable local, state, federal, or international law or regulation
• Transmit unsolicited advertising, spam, or promotional materials
• Attempt to gain unauthorized access to any portion of the Site, our servers, or connected systems
• Use automated bots, scrapers, or data-mining tools to access or extract our content without written permission
• Upload or transmit malicious code, viruses, or disruptive software
• Impersonate Satisfi Technologies, our employees, partners, or any other person or entity
• Attempt to reverse-engineer, decompile, or disassemble any software or technology used on the Site

4.3 Contact Form Submissions

When you submit information through our contact form, you represent that all information provided is accurate, current, and complete. Submitting a contact form does not obligate either party to enter into any agreement.

5 Intellectual Property

All content on the Site — including text, graphics, photographs, logos, the Satisfi Technologies name and brand, product images, videos, software, and the overall design — is owned by or licensed to Satisfi Technologies, LLC and is protected by U.S. and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and view the Site for personal, non-commercial informational purposes only. This license does not include the right to:

• Reproduce, distribute, publicly display, or create derivative works of any Site content
• Use any trademarks, logos, or branding of Satisfi Technologies without prior written consent
• Frame or mirror any portion of the Site on another website or platform

6 Partner Agreements & Site Deployments

Becoming a Satisfi Technologies Property Partner is subject to a separate written Partner Agreement. Submission of a contact form does not create a contractual obligation on either party.

Partner Agreements will address, among other matters:

• Site assessment, placement, and installation procedures
• Stocking, product selection, and replenishment responsibilities
• Maintenance, hardware ownership, and liability
• Revenue sharing or compensation arrangements (if applicable)
• Term, termination, and removal of Smart Store units
• Data sharing and confidentiality obligations

7 Payment & Transactions

Satisfi Technologies does not collect payment through our website. All end-user transactions at Smart Store units are processed through third-party, PCI-DSS-compliant payment processors. We do not store raw payment card data. By transacting at a Smart Store unit, users agree to the terms and conditions of the applicable payment processor.

Any financial arrangements between Satisfi Technologies and Property Partners are governed exclusively by the applicable Partner Agreement.

8 Disclaimers

THE SITE AND ALL CONTENT, INFORMATION, AND SERVICES PROVIDED THROUGH IT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SATISFI TECHNOLOGIES DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

Some jurisdictions do not allow the exclusion of certain warranties. In such jurisdictions, our liability is limited to the maximum extent permitted by applicable law.

9 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SATISFI TECHNOLOGIES, LLC, ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES — EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE EXCEED ONE HUNDRED U.S. DOLLARS ($100.00).

10 Indemnification

You agree to indemnify, defend, and hold harmless Satisfi Technologies, LLC and its officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of, or inability to use, the Site
• Your violation of these Terms or any applicable law or regulation
• Your violation of any third-party rights, including intellectual property or privacy rights
• Any content or information you submit through our contact form or other communications

11 Third-Party Links & Services

Our Site may contain links to third-party websites or resources not owned or controlled by Satisfi Technologies. These links are provided for convenience only. We assume no responsibility for the content, privacy policies, or practices of any third-party websites. Your access to and use of linked third-party websites is at your own risk.

12 Governing Law & Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.

12.2 Dispute Resolution

Any dispute arising out of or relating to these Terms that cannot be resolved through good-faith negotiation shall be subject to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with arbitration taking place in Dallas County, Texas.

12.3 Class Action Waiver

TO THE EXTENT PERMITTED BY LAW, YOU AND SATISFI TECHNOLOGIES AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

12.4 Exceptions

Either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

13 Changes to Terms

Satisfi Technologies reserves the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page. Your continued use of the Site following the posting of revised Terms constitutes your acceptance of those changes.
